SCHEDULE

TERMS AND CONDITIONS

These Terms and Conditions (Terms), together with the Schedule above and Boby's Platform Terms, govern this Offer and the associated Benefit. Participation is deemed acceptance of these Terms in their entirety.

1. DEFINITIONS

In these Terms, the following expressions have the following meanings:

ABR means the Australian Business Register maintained by the Australian Taxation Office.

Benefit means the permanent free-of-charge provision of all Category-Scoped Subscription lines in the Participant's Home Postcode for the duration of continuous active subscription, as described in the Schedule.

Category-Scoped Subscription means a subscription to the Platform by a Participant comprising one or more subscription lines, each representing one combination of a Licence Category and a postcode.

Founder's Bundle means the premium subscription tier available on additional postcode subscription lines beyond the Participant's free Home Postcode, comprising the founding badge and access to Boby's marketing referral funnel.

Home Postcode means the postcode of the ABR-registered business address of the Participant's Master Security Licence-holding entity, as described in the Schedule.

Licence Category means a category of licensed security work supported by the Platform: Security Officer, Transit Officer, Protection Officer, Investigator, and Crowd Controller, as may be updated by Boby from time to time.

Master Security Licence means a current firm-level security licence (or equivalent) issued under applicable state or territory security industry legislation, authorising the holder to operate a security business.

Offer means the Founding Firm Free Home Postcode Subscription offer described in these Terms and the Schedule.

Offer Period means the period commencing 1 July 2026 and closing 8 September 2026, as may be extended by Boby.

Participant means a licensed security firm that onboards to the Platform and accepts these Terms. A Participant that completes onboarding during the Offer Period is eligible for the Founder's Bundle.

Platform means the Boby coordination platform operated at getboby.ai.

Platform Terms means Boby's Terms and Conditions v2.0, published at getboby.ai/terms, as amended from time to time.

Verification Layer means Boby's continuous verification system that checks each Firm's Master Security Licence currency, insurance currency, industry association membership, and officer licence currency, as a condition of active subscription.

2. NATURE AND CONTEXT OF THE OFFER

2.1 This Offer is made by Boby Pty Ltd as part of the Gold Coast Pilot Phase, being the 10-week founding period commencing 1 July 2026 during which Boby is onboarding its first cohort of licensed Participants on the Gold Coast. The Pilot Phase is the 10-week founding period during which Boby is onboarding its first cohort of licensed Participants on the Gold Coast. The Offer is the commercial consideration for being a founding Firm during this period.

2.2 Participation in this Offer is also governed by the Platform Terms. In the event of any inconsistency between these Terms and the Platform Terms, these Terms prevail to the extent of the inconsistency in relation to this Offer.

3. ELIGIBILITY

Boby reserves the right to verify eligibility at onboarding and at any point during the subscription. If Boby determines that a Participant did not meet the eligibility criteria at onboarding, or ceases to meet them, Boby may suspend or terminate the Benefit on reasonable written notice.

4. THE BENEFIT

4.1 Provided the Participant remains eligible and compliant with these Terms, Boby will provide all Category-Scoped Subscription lines in the Participant's Home Postcode free of charge for the duration of the Participant's continuous active subscription on the Platform.

4.2 The Benefit applies to every Licence Category that the Participant's Master Security Licence endorses in the Home Postcode at the time of onboarding. If the Participant's Master Security Licence is subsequently endorsed for additional Licence Categories, those additional Categories in the Home Postcode will also be provided free of charge from the date Boby verifies the additional endorsement.

4.3 The Benefit is permanent in the sense that it does not expire due to the passage of time alone. It is conditional on the Participant maintaining a continuous active subscription and satisfying the requirements of clause 5.

4.4 The Benefit applies only to the Home Postcode. All other postcodes in which the Participant subscribes are charged at the standard rates applicable at the time of subscription.

4.5 The Benefit has no cash value and is not redeemable for cash, credit, or any other form of consideration. It is not transferable to any other entity.

4.6 During the Offer Period, any additional postcode subscription line held by a Participant beyond its free Home Postcode will include the Founder's Bundle at no additional charge.

4.7 After the Offer Period closes, the Founder's Bundle on additional postcodes is available as a paid premium subscription tier at the rate set out on the Platform.

4.8 A Participant's entitlement to the Founder's Bundle for any additional postcode is a recurring entitlement tied to continued payment of the applicable premium subscription for that postcode. On downgrade, cancellation, or lapse of that premium subscription, the Founder's Bundle for that postcode becomes available to other firms.

4.9 The Founder's Bundle does not confer any territorial exclusivity, exclusive dealing arrangement, or preferential routing of requests.

4.10 Boby may, at its sole discretion, extend the Offer Period beyond 8 September 2026 by providing written notice to Participants and publishing the updated closing date on the Platform.

5. CONDITIONS ON THE BENEFIT

5.1 The Benefit is contingent at all times on the Participant:

(a) holding a current Master Security Licence in good standing;

(b) maintaining current insurance appropriate to each Licence Category held in the Home Postcode;

(c) maintaining current industry association membership where required by the Firm Platform Terms or the Verification Layer; and

(d) maintaining at least one currently-licensed officer on the Firm profile on the Platform with current endorsement for each Licence Category held in the Home Postcode.

6. HOME POSTCODE

6.1 The Home Postcode is determined by reference to the ABR-registered business address of the Participant's Master Security Licence-holding entity at the date of onboarding, as verified by Boby against the Australian Business Register.

6.2 If the Participant's ABR-registered business address changes after onboarding, the Home Postcode will be updated to the new ABR-registered postcode from the date Boby receives written notification and verifies the change. The Offer will no longer apply to the former Home Postcode and the former Home Post Code will revert to the standard Category-Scoped Subscription rate from the date of the change.

6.3 If the Master Security Licence-holding entity changes due to corporate restructure or acquisition, the Home Postcode and applicable Offer follows the new entity's ABR-registered address, subject to Boby's verification.

6.4 The Offer will not apply to and the Participant may not select or nominate a Home Postcode different from its ABR-registered business address postcode.

7. CONTINUITY AND LAPSE

7.1 The Benefit is contingent on the Participant maintaining active subscription. If the Participant's subscription is cancelled or terminated for any reason, the Benefit terminates and cannot be reactivated.

7.2 If a Participant whose Benefit has lapsed subsequently re-subscribes, the re-subscribing entity is not eligible for the Benefit.

7.3 A Verification Layer suspension does not constitute a cancellation under clause 7.1, provided the Participant restores currency within 30 days. If suspension continues beyond 30 days, Boby may in its discretion treat the affected subscription line as cancelled.

8. GENERAL TERMS

8.1 Consumer Law Rights: Certain legislation, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), may confer rights, warranties, guarantees, and remedies that cannot be excluded, restricted, or modified. Nothing in these Terms excludes any Consumer Law Rights the Participant may have. Subject to Consumer Law Rights, Boby provides all material and services relevant to this Benefit without implied conditions or warranties except as expressly stated.

8.2 Liability: Subject to Consumer Law Rights, a party's liability arising in connection with these Terms will be reduced proportionately to the extent caused or contributed to by the other party's acts or omissions, including failure to mitigate loss.

8.3 Exclusion of Consequential Loss: Subject to Consumer Law Rights, to the maximum extent permitted by law, neither party is liable for any consequential, special, or indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use, and/or loss or corruption of data, arising under or in connection with these Terms.

8.4 Costs: Each Participant is solely responsible for any costs associated with applying for or claiming the Benefit, including any applicable taxes.

8.5 Currency: All monetary amounts are in Australian dollars (AUD) unless otherwise stated.

8.6 Force Majeure: Neither party is liable for delay or failure to perform obligations caused or contributed to by events beyond reasonable control, including acts of God, fire, natural disaster, civil unrest, terrorism, war, pandemic (including COVID-19 and any mutations), epidemic, quarantine, or government-sanctioned shutdown.

8.7 Amendments: Boby may amend or replace these Terms on not less than 30 days' prior written notice to the Participant. Notice may be given by email to the contact address provided at onboarding or by publication on the Platform. If the Participant does not accept an amendment, the Participant may terminate its subscription before the amendment takes effect, in which case the Benefit lapses under clause 7.1. Continuing to use the Platform after an amendment takes effect constitutes acceptance. Boby may amend with immediate effect where required by a regulatory authority or court.

8.8 Dispute Resolution: In the event of a dispute, the parties must attempt resolution in good faith by direct negotiation within 14 days of written notice. If unresolved, either party may refer the matter to a mediator agreed between the parties or, failing agreement within 7 days, appointed by the Australian Disputes Centre. Mediation costs are shared equally. Nothing prevents either party from seeking urgent injunctive or other interlocutory relief.

8.9 Governing Law and Jurisdiction: These Terms are governed by the laws of Queensland, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of Queensland.

8.10 Privacy: Boby handles personal information collected in connection with this Offer in accordance with the Platform's Privacy Policy (getboby.ai/privacy) and applicable privacy laws. By participating, the Participant consents to Boby collecting, using, and disclosing personal information for the purposes described in the Privacy Policy.

8.11Severability: If any provision is invalid, unenforceable, or illegal, it is read down or severed to the minimum extent necessary; the remaining provisions continue in full force.
